ELEVENTH AND TWELFTH RESOLUTIONS: COMPENSATION POLICIES FOR EXECUTIVE CHAIRMEN AND SUPERVISORY BOARD MEMBERS ( EX‑ANTE VOTES)

Explanatory statement The mechanism applicable to sociétés en commandite par actions (partnerships limited by shares) governing Senior Executive compensation, introduced by Order no. 2019‑1234 of 27November 2019, is described in detail in the 2022 universal registration document (chapter 3 “Corporate governance”, §3.8). This system provides that the Shareholders’ General Meeting votes each year on the compensation policies of the Corporate Officers ( i.e. the Executive Chairmen and the Supervisory Board members). These are presented in the 2022 universal registration document (chapter 3 “Corporate governance”, §3.8.1.1 to §3.8.1.3). In the eleventh resolution, you are asked to approve the compensation policy for the Executive Chairmen(unchanged). Through the twelfth resolution, we ask you: to revise the total annual amount of compensation attributable to members of the Supervisory Board, from €600,000 to €900,000; (i) to review accordingly the compensation that may be allocated to members of the Board and committees, in accordance with the distribution criteria set out in the table below, which constitute the compensation policy for the members of the Supervisory Board; (ii) to approve the revised compensation policy for the members of the Supervisory Board. These proposals were approved by the Executive Management Board of Émile Hermès SAS, Active Partner, and the Supervisory Board of Hermès International at their Joint Council meeting on 16 February 2023. The revision of the compensation policy for the members of the Supervisory Board aimed: to maintain the appeal of the Board; s to remain competitive in the search for profiles in line with the Board’s diversity policy (see chapter 3 “Corporate governance”, §3.4.3.2); s to offer the Supervisory Board the necessary flexibility to be able to anticipate any change in its composition and/or its functioning; s to take into consideration the development of the activities and the heterogeneity of the subjects with which the Board and its committees must deal. s Subject to the approval of this resolution by the General Meeting, the revised annual total amount and the new compensation policy will apply to the amounts awarded in early 2024 for the 2023 financial year, until a further decision by the General Meeting.
