DIVIDEND

As part of its “Back to Growth” strategy, Quadient has decided, as part of its shareholder return policy, to set its annual pay-out ratio at a minimum of 20 of the Group attributable net income with the minimum annual dividend set at an absolute floor of 0.50 euros per share.

The dividend proposal related to the 2022 financial year will be submitted to the approval of shareholders at the General Meeting on 16 June 2022.

SHARE BUYBACK PROGRAM

A share buyback program involving a maximum of 10 of the issued share capital at a maximum purchase price of 50 euros could be presented for approval to the Annual General Meeting to be held on 16 June 2022.

Ownership structure 3.2

Quadient S.A. is not controlled either directly or indirectly. There is no agreement which might lead to a change of control. As of 31 January 2022, Quadient S.A.’s share ownership was as follows:
