Remaining with a split pay of 75 euros and 25 dollars for 2022, the Chief Executive Officer's annual fixed remuneration would be the following: gross annual fixed remuneration for his duties as Chief ● Executive Officer of the Company of 487,500 euros, paid in France; gross annual fixed remuneration of 193,375 US dollars ● for his duties and time spent as both Director of Quadient Holdings, Inc. and Director, President and Chief Executive Officer of the subsidiary Quadient, Inc., paid in the United States. The breakdown of the gross annual fixed remuneration between the various duties of Chief Executive Officer of the Company and his roles of the US subsidiaries, may be reviewed by the Board of Directors during the year, by mutual agreement, with the Chief Executive Officer, to reflect the time and resources dedicated to each of these duties. It being noted, however, that an at-will Executive Agreement has been put into place in 2021 to support his role and time spent in the U.S. as President and Chief Executive Officer of certain US subsidiaries. This

Executive Agreement is at-will and does not provide any employment protection to Mr. Godet. the studies performed by Mercer demonstrated that the part of qualitative criteria used to measure the short-term variable compensation is higher on the market than the previous mechanism in place at Quadient. Consequently, the Appointments and remuneration committee advised to increase the part linked to the qualitative objectives and to define a reduced number of criteria to improve their significance. Finally, the Appointments and remuneration committee proposed to introduce an ESG criteria to calculate the payout of both the short-term and the long-term variable remuneration of the Chief Executive Officer. A diversity criteria has been introduced for the annual variable remuneration and a criteria tied to greenhouse gas emissions for Quadient has been recommended for the long-term incentive plan. Decisions regarding the remuneration of the Chief Executive Officer are the responsibility of the Board of directors and are based on proposals from the Appointments and remuneration committee.
