The table below mentions all the components of compensation paid or awarded to Mr. Marc-Henri Desportes which are subject to the approval of the Annual General Meeting.
The compensation policy for the Deputy Chief Executive Officer was approved by the Annual General Meeting held on June 9, 2020 (29 th resolution). The elements making up the total compensation and fringe benefits of all kinds paid or allocated to Mr. Marc-Henri Desportes comply with this policy.

Grant of 13,400 performance shares to Mr. Marc-Henri Desportes – for more details see the paragraph on “Multi-year equity compensation” below (vesting conditions for these shares are detailed in Section G.3.3.6). This compensation component is not applicable, as it is not included in the compensation policy for Mr. Marc-Henri Desportes. This compensation component is not applicable, as Mr. Marc-Henri Desportes does not hold office on the Worldline Board of Directors. Mr. Marc-Henri Desportes benefited from a company car without a driver, as well from an annual medical check-up and an investment advisor. Mr. Marc-Henri Desportes does not receive any compensation for his duties as Chief Executive Officer of Ingenico Group SA. Amount corresponding to employer contributions to the incapacity, disability, death policy plan and the healthcare plan; for more information on these plans, see the “Social protection plans” paragraph below. This compensation component is not applicable, as it is not included in the compensation policy for Mr. Marc-Henri Desportes. Mr. Marc-Henri Desportes is not entitled to any complementary or supplementary pension plans.
