APPROVAL OF THE PARENT COMPANY AND CONSOLIDATED FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 DECEMBER 2019 (RESOLUTIONS 1 AND 2) We would ask you to approve the parent company financial statements for the year ended 31 December 2019, which show a net profit of €114,988,135.63, and the consolidated financial statements for the year ended 31 December 2019, which show a net profit (Group share) of €163,227,000.00, as submitted.

INFORMATION ON NON-DEDUCTIBLE CHARGES (ARTICLES 39–4 AND 223 IV OF THE GENERAL TAX CODE)

The financial statements for the financial year ended 31 December 2019 do not include any non-allowable charges with regard to the income tax base, as defined by Articles 39–4 and 223 IV of the General Tax Code.

ALLOCATION OF NET PROFIT

The Management Board proposes to allocate the net profit of €114,988,135.63 for the year ended 31 December 2019, increased by retained earnings of €3,705,891, to a total of €118,694,026.63, as follows:

gross dividend at the flat rate of 12.8% (Article 200 A of the General Tax Code), or at the express, irrevocable and comprehensive wishes of the taxpayer, to income tax calculated according to a sliding scale after notably an allowance of 40% (Articles 200 A, 13, and 158 of the General Tax Code). The dividend is also subject to social security contributions at the rate of 17.2%. Shares held by the company on the ex-dividend date are not entitled to dividends, with the corresponding amount of unpaid dividends being transferred to retained earnings. The dividend will be payable on 5 June 2020 and the ex-dividend date will be 3 June 2020.
