The Compensation Committee has three members: Anne-Marie Couderc, Anne Asensio and Alexandre Mérieux. The Compensation Committee met twice in financial year 2021, with a 100% attendance record. The main activities of the Compensation Committee in 2021: review of the fixed and variable items of compensation of the j executive corporate officers, and proposals submitted to the Board; analysis of the performance of executive corporate officers in 2020, j and a recommendation to the Board concerning variable annual compensation in 2020; analysis of the performance of executive corporate officers in 2021 j in the context of the health crisis, and a recommendation to the Board concerning variable annual compensation in 2021; analysis and proposals concerning the 2020 and 2021 bonus j shares issue plans;

analysis and reflections on the variable compensation structure for j executive corporate officers and targets for 2022; preparation of the draft resolutions presented to the General j Shareholders’ Meeting of 22 April 2021 (ex ante vote on compensation policy for 2021 and ex post vote on items of compensation paid to executive corporate officers in respect of 2020) and a presentation of the compensation ratios; corporate officers’ pension: review of the position of executive j corporate officer and proposal for a new pension scheme based on article L.137-11-2 of the French Commercial Code applying to executive corporate officers; breakdown of the amount allocated to directors as compensation for j their activity on the Board of Directors and its Committees, pursuant to the rules defined on its recommendation.
