3.1.2.7. REPRESENTATIVE

The employee representativeis appointed, under the procedure describedby Article 10.I Bof the By-laws,by the Group European Works Council, pursuant to Article L. 225-79-2of the French Commercial Code. The representativeof employeeshareholdersis appointedby the Shareholders’GeneralMeetingon the proposalof the Supervisory Boards of the corporate mutual funds (“FCPE” in French), in accordancewith the Article L. 225-71of the French Commercial Code and Article 10.I Cof the Companyby-laws.It will be recalled that the Shareholders’General Meeting on 10 May 2017 amended

the by-lawsto maintainrepresentationof employeeshareholderson the SupervisoryBoard for a period of four years even though the percentage ofemployee ownership had fallen below3%. The SupervisoryBoard enables the employee representativeand the representativeof employeeshareholdersto train appropriately for the duties required of them by virtue of their office. In this respect, the Board offers training to employeerepresentativesat the Institut Français des Administrateurs (French Institute of Directors).

NON-VOTING MEMBERS

3.1.2.8.

Underthe terms of the shareholders’agreement,each of the three referenceshareholdersmay apply to have a non-votingmemberwho attendthemeetingsof the SupervisoryBoard.In accordancewiththe InternalRulesof the SupervisoryBoard,the non-votingmembersare appointed by the Supervisory Boardfor a termof fouryears.
