Pro forma financial information

• the income statements for the period 1 January 2022 to 15 November 2022 of the Flins-sur-Seine and Ollioules establishments, extracted from the annual financial statements of Altarea SCA as of 31 December 2022, which have not been audited or subject to a limited review and were prepared in accordance with French accounting rules and principles. Pro forma adjustments of the Unaudited Pro Forma Financial Information are limited to those that are: (i) directly attributable to the Acquisition Transaction and (ii) factually verifiable. The Unaudited Pro Forma Financial Information does not reflect elements such as synergies or operational efficiencies that could result from the Acquisition Transaction, nor the reorganisation and integration costs that may be incurred as

a result of the Acquisition Transaction. The Unaudited Pro Forma Financial Information has been prepared on the basis of certain assumptions that the Company considers reasonable at the date of this Universal Registration Document. Taking into account all the assumptions used and the preliminary valuations carried out for the purposes of the Unaudited Pro Forma Financial Information, the final consolidated financial position and operating results of the Group in the future may differ from the pro forma amounts insofar as additional information will be made available and additional analyses will be carried out. The Unaudited Pro Forma Financial Information is presented in thousands of euros.
