3.3.4.5.1 Renewal of terms of office expiring in 2021 The terms of four members of the Supervisory Board (Ms Olympia Guerrand, Messrs Matthieu Dumas, Blaise Guerrand and Alexandre Viros expire in 2021 and all four have indicated their desire to run for reappointment. It is proposed that the General Meeting of 4 May 2021 renew them for the period of three years as set out in the Articles of Association for the reasons set out in chapter 8 “Combined General Meeting of 4 May 2021”, § 8.2.1 - Explanatory statement to the thirteenth to sixteenth resolutions.

3.3.4.5.2 Non-renewal of terms of office expiring in 2021 As indicated opposite, it is proposed that the General Meeting of 4 May 2021 renew all terms of office expiring in 2021. 3.3.4.5.3 Appointment of new members of the Supervisory Board proposed to the Meeting of 4 May 2021 No appointment of new members of the Supervisory Board is proposed to the General Meeting of 4 May 2021.

DEFINITION AND CRITERIA OF INDEPENDENCE

3.3.5.1

Members of the Supervisory Board are independent if they have no relationship of any kind whatsoever with the Company, its group or its management that is liable to compromise the exercise of their freedom of judgement in any way (Article 1.1.2 of the rules of procedure). This independence allows for freedom of expression and judgment that contributes to the quality of the Board’s debates and deliberations.
