GENERAL INFORMATION RELATING TO 5.2 RENAULT’S SHARE CAPITAL

Share capital 5.2.1

As at December 31, 2019, the share capital amounted to €1,126,701,902.04, consisting of 295,722,284 shares with a par value of €3.81 each. The shares are fully subscribed and paid up.

Change in the share capital 5.2.2

The Extraordinary General Meeting may, as specified by law, increase or reduce the share capital and grant delegation to the Board of Directors to carry out such transactions, with the faculty of delegation in accordance with applicable legal provisions.

Changes in capital ownership over the past five years 5.2.3 There were no changes in capital ownership over the past five years. The last capital increases date from April 28, 2010. During the reserved capital increases at a price of €37 per share, Nissan Finance Co., Ltd. and Daimler AG respectively subscribed 1,617,775 shares and 9,167,391 shares with a par value of €3.81.

Unissued authorized share capital 5.2.4

Overall authorizations 5.2.4.1 The Annual General Meeting of June 15, 2018, authorized the Board of Directors to proceed with various financial transactions to carry out capital increases to the Company’s share capital, with or without preferential subscription rights. To date, these authorizations have not been used. These authorizations are detailed hereafter.
