In addition, the Board of Directors of Groupama Assurances Mutuelles has granted the possibility to allocate allowances and expense reimbursements to members of the Mutual Insurance Advisory Board, with an annual amount fixed at €600,000 by the General Meeting of 7 June 2018. In 2022, the allowances and expense reimbursements for members of the mutual insurance Advisory Board totalled €419,192 gross and €42,354 respectively. The General Meeting of 7 June 2018 adopted a Resolution concerning retirement benefits for Directors representing regional mutuals and members of the Mutual Insurance Advisory Board. This Resolution authorises the Board of Directors to continue, under terms and conditions that it deems

appropriate, the Chairman death benefits (IVP) for former regional chairmen and national Directors of the Group and to extend the benefit to Directors representing the regional mutuals and members of the mutual insurance Advisory Board. On 26 October 2022, the Board of Directors extended the benefits of the plan to the Chairman of the mutual insurance Advisory Board of Groupama Assurances Mutuelles. The General Meeting of 17 June 2021 decided to fix the maximum amount of funding that can be allocated annually to these retirement benefits by the Groupama national reinsurance mutual at €1,375,000. In 2022, Groupama Assurances Mutuelles paid €1,375,000 for this purpose.
