The Company has not granted any loans, advanced payments and guarantees to the members of the Managing Board and Supervisory Board. The fixed compensation components consist of base salary and other benefits in kind like company car and health care insurance, if applicable. These components are linked to the overall job responsibilities of the individual Managing Board member and reflect internal consistency. (d) Isabel Ucha was appointed to the Managing Board at the AGM of 16 May 2019. (e) On 20 August 2019, the Group announced that Maurice van Tilburg had resigned from the Managing Board. (f) Simone Huis in ’t Veld was appointed to the Managing Board at the EGM which took place on 8 October 2019.
The variable salary consists of an annual performance compensation component as a percentage of base salary. The percentages are target percentages of the annual base salary, which are only payable if all objectives are met. Performance criteria are set and reviewed on an annual basis by the Remuneration Committee and the Supervisory Board. For 2020, all bonus targets have been met by the Managing Board.
