Shareholders’ Meeting Statutory Auditors’ special report on related-party agreements

NATURE AND TERMS At its meeting of March 8, 2018, acting on the recommendationof the Compensation and Appointment Committee, the Supervisory Board set the variable compensation amount for each member of the Executive Board in respect of 2017 in accordance with the principles and criteria determinedby the SupervisoryBoard at its meeting of March 16, 2017 and approvedby the Shareholders’Meeting of May 11, 2017 (8th resolution). The variablecompensationin respect of 2017of the membersof the Executive Boardholding anemployment contractamounted to: Virginie Morgon: Gross variable compensation of €255,236 for the period from January 1 to March 18, 2018, date on which her contract • was suspended. Philippe Audouin:Gross variablecompensationof €572,906. • NicolasHuet: Gross variablecompensationof €526,658. • Agreementsapproved during theyear We were informed of the implementation during the year of the following agreements, previously approved by the Annual General Meeting of April 25,2019, as indicatedin the StatutoryAuditors’ special reportof March 15, 2019.

Virginie Morgon (Chairwoman of the Executive Board of Eurazeo and shareholder of CarryCo Croissance 2), Philippe Audouin (Chief Financial Officer and member of the Executive Board of Eurazeo, shareholder of CarryCo Croissance 2), Nicolas Huet (member of the Executive Board of Eurazeo and CEO of CarryCo Croissance 2) and Olivier Millet (member of the Executive Board of Eurazeo and shareholder of CarryCo Croissance2). NATURE AND TERMS: At its meeting of March 7, 2019, the Supervisory Board approvedOlivier Millet’s joining, via a non-trading company of which he owns the shares, of the co-investment program put into place in 2015 between Eurazeo, members of the Executive Board and members of the investment team concerningthe investments madeby Eurazeobetween 2015and 2018 throughCarryCoCroissance2. No amount waspaid duringthe yearended December 31, 2019. iii.
