The main tasks of the Finance Committee are to: • Assist the SupervisoryBoard on the Company'sproposed • investments or divestments; Issue recommendationsor opinions to the Supervisory • Board on all proposedtransactionssubmittedto it by the Chairmanof the Supervisory Board; a Intervenes, at the request of the Chairman of the • Supervisory Board or the Supervisory Board itself, on projects including: any transactionthat could result, immediatelyor in the • future, in a capital increase or decrease through the issue or cancellation of shares, the acquisitionof a new or additionalinvestmentin any • entity or company, or any acquisition, exchange or disposal of shares, property, receivables or securities involvingan investmentby the Companyof more than €200 million, agreements regarding debt, financing or alliances, • whenever the total amount of the transaction or agreement,performedin one or more stages, exceeds €200 million.
