Corporate Officer remuneration

As a result of this review, the allocation of Directors’ remuneration will be based on the following amounts:

Board of Directors

Fixed remuneration 14,000 euros per annum – prorated for duration of membership during the year Variable remuneration 25,000 euros per annum for participation in all Board Meetings – prorated in case of absence.

Intercontinental meeting allowance Lead Director (until May 2022 only)

Variable remuneration 3,000 euros additional per meeting on continent other than that of residence*

36,000 euros per annum – prorated for duration of office during the year 19,100 euros per annum – prorated upon duration of time in role during the year

Candace Matthews benefits from a specific arrangement for a fixed amount of 30,000 euros instead of the travel allowance, as per prior agreement. *

Comprehensive and Balanced The overall remuneration package is composed of four components. These components are balanced between fixed and at-risk elements of remuneration: base salary: placed at levels that are competitive for the 1. location, the position and the level of responsibility in order to attract and retain talent; variable remuneration: designed with target levels and 2. performance indicators that: motivate and reward performance for the year, • align with Shareholder interests, and • encourage sustainable growth and profitability. • Performance criteria are clear, aligned with both short and long-term objectives, and contribute to the realization of the Company’s long-term strategy; long-term incentives: additional at-risk remuneration, 3. directly tied to business results on key performance metrics over a defined period of time and delivered in the form of Company shares. The long-term incentives serve to attract, motivate and retain key talent over a longer time frame; benefits: aligned with local market practice, benefits policies 4. are designed to provide additional non-monetary remuneration and protection to team members and their families through programs covering but not limited to: life and disability insurance, • health care, • savings and retirement plans. •

The Chief Executive Officer does not receive any remuneration for his role as a Director. Directors representing the Employees receive the Fixed component of Directors’ remuneration in recognition of their duties as Directors. Their work on Committees is considered as remunerated through their employment compensation. No member of the Executive Committee receives Directors’ remuneration for serving as Corporate Officers or Directors of any Company subsidiary. Corporate Officers The Chief Executive Officer is the only Executive Corporate Officer. The remuneration policy detailed in this document would also apply to any future Executive Corporate Officer should such an appointment be made.
