2 REPORT ON CORPORATE GOVERNANCE Role and operating rules of governing bodies

Activity The Cooperative and CSR Committee met twice between January 1 and December 31, 2017. The average attendance rate at these meetings was91.66%. The mainissues that itaddressed were asfollows: review of cooperativeshares; ● review of the Group strategic plan’s SocietalEngagement initiative; ● follow-up on the progress to date of each federation’s strategic ● CSR and cooperative projects; review of the FNBP’s “Highlight the CooperativeDifference plan”; ● review of the 2018-2020 CSR and Cooperatives guidelines ● established by FNCE; review of Groupe BPCE’sESG ratings; ● review of the post-mortem report on the Cooperative Banking ● Model initiativeunder the Group’s 2014-2017 strategic plan.

review of the report on internal control of Groupe BPCE credit ● institutions regarding the policy and practices governing pay in respect of 2016 granted to members of the executive body and personswhose professionalactivitieshave a materialimpact on the corporate risk profile, pursuant to Article 266 of the Ministerial Order of November 3, 2014 on internal control of banking sector companies; review and follow-up of the Supervisory Board Chairman’s report ● on internal control addressing matters within the remit of the Remuneration Committee. Duties The Cooperative and CSR Committee is in charge of submitting motions and recommendationsaimed at promoting the cooperative and social values of long-term commitment and professional and interpersonalethics. It also ensures that Group and network activities represent thesevalues, therebystrengtheningthe cooperativebanking model of the Group andeach of the networks. To this end, the Cooperative and CSR Committee monitors cooperative share sales and dividend practices exercised by the Banque Populaire banks and the Caisses d’Epargne, changes to their share capital and fairdistributionamong cooperative shareholders.
