ARTICLES OF ASSOCIATION OF ASSYSTEM SA

Based on a decision taken by the shareholders at the Extraordinary General Meeting of 30 November 2001, the following shares were contributed to the Company: ● 58 H.T.S. shares owned by Didier Rottee, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 27 September 2001, in return for the allocation of 4,346 Assystem shares with a par value of €1 per share; ● 22 H.T.S. shares owned by Xavier de Finance de Clairbois, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 27 September 2001, in return for the allocation of 1,648 Assystem shares with a par value of €1 per share; ● 3 H.T.S. shares owned by Renaud Davoust, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 27 September 2001, in return for the allocation of 224 Assystem shares with a par value of €1 per share. After the shareholders approved the value of and consideration for these contributions, based on the Contribution Appraiser’s report, the Company’s share capital was increased by €6,218. Based on a decision taken by the shareholders at the Extraordinary General Meeting of 30 November 2001, the following shares were contributed to the Company: ● 7,121,050 Elites Consulting shares owned by Charles Ganem, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 12 October 2001, in return for the allocation of 86,896 Assystem shares with a par value of €1 per share; ● 50,000 Elites Consulting shares owned by Jacques Ganem, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 12 October 2001, in return for the allocation of 610 Assystem shares with a par value of €1 per share; ● 200,000 Elites Consulting shares owned by Eric Leray, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 12 October 2001, in return for the allocation of 2,440 Assystem shares with a par value of €1 per share; ● 200,000 Elites Consulting shares owned by Yvan Petton, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 12 October 2001, in return for the allocation of 2,440 Assystem shares with a par value of €1 per share; ● 150,000 Elites Consulting shares owned by Franklin Fellous, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 12 October 2001, in return for the allocation of 1,830 Assystem shares with a par value of €1 per share. After the shareholders approved the value of and consideration for these contributions, based on the Contribution Appraiser’s report, the Company’s share capital was increased by €94,216. Based on a decision taken by the shareholders at the Extraordinary General Meeting of 30 November 2001, the following shares were contributed to the Company: ● 40% of the shares of Inforchip Consulting E.T.T., S.L., owned by Carlos José Briones Herranz, contributed in accordance with the terms and conditions of the asset contribution agreement signed on

● 6,250 Groupe Androne SA shares owned by BNP PE/namc, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 1 August 2000, in return for the allocation of 14,050 Assystem shares with a par value of FRF 4 per share. After the shareholders approved the value of and consideration for these contributions, based on the Contribution Appraiser’s report, the Company’s share capital was increased by FRF 616,020. Based on a decision taken by the shareholders at the Extraordinary General Meeting of 11 September 2000, the following shares were contributed to the Company: ● 277 New Itaac SA shares owned by Philippe Guesnier, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 1 August 2000, in return for the allocation of 3,046 Assystem shares with a par value of FRF 4 per share; ● 277 New Itaac SA shares owned by Richard Sommer, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 1 August 2000, in return for the allocation of 3,046 Assystem shares with a par value of FRF 4 per share; ● 277 New Itaac SA shares owned by Louis Charo, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 1 August 2000, in return for the allocation of 3,046 Assystem shares with a par value of FRF 4 per share. After the shareholders approved the value of and consideration for these contributions, based on the Contribution Appraiser’s report, the Company’s share capital was increased by FRF 36,552. Based on a decision taken by the shareholders at the Extraordinary General Meeting of 30 May 2001, the following shares were contributed to the Company: ● 35,000 Class A Techniglobe shares owned by Louis Pratt, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 7 May 2001, in return for the allocation of 6,251 Assystem shares with a par value of €1 per share; ● 5,000 Class A Techniglobe shares owned by Isabelle Arrivault, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 7 May 2001, in return for the allocation of 931 Assystem shares with a par value of €1 per share; ● 5,000 Class A Techniglobe shares owned by Alain Saint-Amand, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 7 May 2001, in return for the allocation of 931 Assystem shares with a par value of €1 per share; ● 55,000 Class A Techniglobe shares owned by Les Conseillers Logisil Inc, contributed in accordance with the terms and conditions of the asset contribution agreement signed on 7 May 2001, in return for the allocation of 10,247 Assystem shares with a par value of €1 per share. After the shareholders approved the value of and consideration for these contributions, based on the Contribution Appraiser’s report, the Company’s share capital was increased by €18.630.
