4.5 REGULATED AGREEMENTS

4.5.1 REGULATED AGREEMENTS

In their special report, the Statutory Auditorsmentioned no agreements of the kind described inArticles L. 226-10 et seq. of the French Commercial Code. The SupervisoryBoardhas established that the regulatedagreement in force since 2006 concerning the investment advisory agreement betweenAltamir andAmboise Partners SA (ex-Apax Partners SA) remained unchangedduring the financial year under review(detailed information about this agreement is provided in the Registration Document). The Board re-examined this agreement at its meeting on 12 March 2019, determined that it was in the Company’s interest to maintain it, and informed the Statutory Auditors thereof. A new agreement will be submitted for shareholder approval at the General Meeting on 29 April 2019. The agreement is with regard to the transfer to Altamir of Amboise SAS’s shareholding in the Apax Digital fund. This agreement is described in the Statutory Auditors’ special report. These two regulated agreements are described in the Statutory Auditors’ special report. The Board has no knowledge of any conflict of interest between the Company and any Board member or the Management Company. To the Annual General Meeting of Altamir, In our capacity as statutory auditors of your Company, we hereby present to you our report on related party agreements and commitments. We are required to inform you, on the basis of the information provided to us, of the terms and conditions of those agreements and commitments indicated tous, or thatwemay have identified in theperformance of our engagement, aswell as the reasons justifyingwhy they benefit the Company. We are not required to give our opinion as to whether they are beneficial or appropriate or to ascertain the existence of other agreements and commitments. It is your responsibility, in accordancewithArticle R. 226-2 of the FrenchCommercial Code ( Code de commerce ), to assess the relevance of these agreements and commitments prior to their approval. We are also required, where applicable, to inform you in accordance with Article R. 226-2 of the French Commercial Code ( Code de commerce ) of the continuation of the implementation, during the year ended 2018, of the agreements and commitments previously approved by the Annual General Meeting. We performed those procedures whichwe deemed necessary in compliancewith professional guidance issued by the French Institute of Statutory Auditors ( Compagnie nationale des commissaires aux comptes ) relating to this type of engagement. These procedures consisted in verifying the consistency of the information provided to us with the relevant source documents. AGREEMENTS AND COMMITMENTS SUBMITTED FOR APPROVAL TO THE ANNUAL GENERAL MEETING In accordance with Article L. 226-10 of the French Commercial Code ( Code de commerce ), we have been notified of the following agreements and commitments enteredduring the financial yearwhichwere subject to theprior authorizationof your SupervisoryBoard. 4.5.2 STATUTORY AUDITORS’ REPORT ON RELATED PARTY AGREEMENTS AND COMMITMENTS

NATURE AND PURPOSE On December 1, 2018, Amboise S.A.S. entered into an agreement with your Company concerning the transfer of the interest held by Amboise S.A.S. in the Apax Digital Fund to your Company. This agreement was authorized by the Supervisory Board of your Company at its meeting held on November 8, 2018.
